1. Introduction & Acceptance

Welcome to Skynex Technologies. These Terms and Conditions govern your use of our website and IT services, including but not limited to Odoo ERP implementations, custom software development, AI automation, and web development. By accessing our website or engaging with our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

2. Services Provided

Skynex Technologies operates as a global IT & ERP solutions provider. We deliver custom technology services as outlined in individual project proposals, Statements of Work (SOW), or service agreements. We reserve the right to modify, suspend, or discontinue any part of our services at any time, with appropriate notice to active clients.

3. Client Obligations

To ensure the successful delivery of software and ERP projects, the client agrees to:

• Provide timely access to necessary systems, servers, and data required for development or implementation.
• Assign a dedicated project manager or point of contact to facilitate approvals and feedback.
• Ensure that any materials or data provided to Skynex Technologies do not infringe on third-party intellectual property rights.

4. Intellectual Property Rights

Upon full payment of all project invoices, Skynex Technologies grants the client full ownership rights to the custom source code and deliverables developed specifically for them, unless otherwise specified in the SOW. Skynex Technologies retains the right to reuse underlying frameworks, pre-existing proprietary code, and generalized AI models that do not contain the client's confidential data.

5. Payment and Billing

Payment structures (such as milestone-based, hourly, or fixed-price) will be detailed in the project agreement. Invoices are payable within the terms specified on the invoice. Skynex Technologies reserves the right to halt development, suspend support, or delay deployment if payments are significantly overdue.

6. Confidentiality & Data Security

Both parties agree to maintain strict confidentiality regarding proprietary business information, source code, financial data, and trade secrets shared during the course of the engagement. Skynex Technologies implements standard security measures to protect client data but does not assume liability for data breaches resulting from third-party hosting providers or client-side vulnerabilities.

7. Warranties and Limitation of Liability

While we strive to deliver bug-free and highly optimized software, all solutions are provided "as is" after the agreed-upon warranty or User Acceptance Testing (UAT) period. Skynex Technologies shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruption, arising from the use of our software or services.

8. Termination

Either party may terminate the engagement with written notice if the other party breaches a material term of this agreement and fails to cure the breach within 30 days. Upon termination, the client is responsible for payment for all services rendered up to the termination date.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Skynex Technologies is registered, without regard to its conflict of law provisions.
